## User Agreement

### Introduction
Collectors.com is an operating division of Collectors Universe, Inc. The terms “Collectors Universe, Inc.”, “Collectors Universe” and “Collectors.com” are used interchangeably.

This User Agreement, the Collectors.com User Privacy Notice and all policies posted on this website set out the terms on which Collectors Universe and Collectors.com offer you access to and use of our websites, services, applications and tools (collectively, our "Services"). All of our policies and the User Privacy Notice are incorporated into and made an integral part of this User Agreement.

You agree to comply with all of the above whenever you access or use our Services.

### About Collectors.com
Collectors.com connects, on a single website, buyers and sellers of collectible coins to facilitate collectibles purchase and sale transactions. Collectors.com does not sell or buy or provide a marketplace for effectuating sales or purchases of coins or other collectibles.

### Using Collectors.com
In connection with using or accessing any of the Websites or the Services, you will not:
- Post, list or upload content or items in inappropriate categories or areas on our sites;
- Post false, inaccurate, misleading, defamatory, or libelous content;
- Manipulate the price of any item or interfere with any other user's listings;
- Bypass our robot exclusion headers, interfere with the working of our Services, or impose an unreasonable or disproportionately large load on our infrastructure;
- Reproduce, perform, display, distribute, or prepare derivative works from content that belongs to or is licensed to Collectors Universe.

If we believe you are abusing any of our websites or the Services, we may limit, suspend, or terminate your user account(s) and access to our Services.

### Policy Enforcement
When a user issue arises, we may consider the user's performance history and the specific circumstances in applying our policies.

### Certain Conditions
We strive to create a site where buyers find what they are looking for. Therefore, the appearance or placement of listings in search and browse results will depend on a variety of factors, including buyer's location, search query, and seller's history.

### Content
When providing us with content or causing content to be posted using our Services, you grant Collectors Universe a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to exercise any and all copyright, publicity, trademark, and database rights in the content.

### Disclaimer of Warranties; Limitation of Liability
You expressly agree that you are making use of our Services at your own risk. COLLECTORS UNIVERSE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

### Release
If you have a dispute with one or more users of the Services, you release us from any and all claims, demands, damages, losses and costs arising out of such disputes.

### Indemnity
You will indemnify and hold Collectors Universe harmless from any claim or demand made, or damages, losses, costs and expenses, including reasonable legal fees, asserted to have been incurred by any third party due to your breach of this User Agreement.

### Legal Disputes
A. **Applicable Law**: You agree that the laws of the State of California will govern the User Agreement.

B. **Agreement to Arbitrate**: Any disputes shall be resolved exclusively through final and binding arbitration.

C. **Judicial Forum for Legal Disputes**: Certain issues or claims shall be resolved exclusively by a state or federal court located in Orange County, California.

### General Terms and Provisions
1. Except as otherwise provided in this Agreement, if any provision is held to be invalid, void or unenforceable, such provision shall be struck out.
2. The User Agreement, the User Privacy Notice, and all Collectors Universe policies set forth the entire understanding and agreement between you and Collectors Universe.
